Could a kind person tell me the difference between these two products please?

They both appear to be D20 Modern versions but I don't understand the difference?
And is there any point to them besides curiosity considering I have the Star Trek CODA system books?

Actually, the second isn't based upon D20M. D20M SRD wasn't out when it was being written. It's based upon the d20 Fantasy SRD, for use with the D&D 3.X Player's handbook.
As to why... Prime Directive isn't the normal Star Trek universe.
The Star Fleet Universe in which Prime Directive is set was upon the Star Fleet Tech Manual, the Franz Joseph Romulan Warbird and Klingon D7 plans, and STTOS and STTAS ONLY. No TNG, no DS9, no Voyager, no Enterprise.
It's a more militant Star Fleet. It evolved in the Star Fleet Battles and Federation and Empires games.
To be honest, I've really not looked at the PD20 nor PD20M lines, but they are two different character gen variations.

That depends... you can probably port the races easily enough.
There are two reasons to buy it: 1) You want to play Classic Trek using D20M core rules 2) You want a TOS/TAS based universe with a detailed history that ignores TNG, Voy, Ent, and DS9.
The Star Fleet Universe, or SFU, isn't quite TOS. It's a more militant federation. It's well developed as a setting in the scenarios for Star Fleet Battles: Captain's Edition Basic Set. But it's not the main trek universe.
Ironically, I prefer to run the SFU using PD 1st edition, which was its own unique system. Love it.
I like Coda, but my players didn't (they'd dislike PD20 and PD20M more). I could Sell them on HeroPD, but the licensing hasn't come through on that, and PD6 no longer needs licensing, but SJG has yet to have it done.
